Information Disclosure System of Guangdong Provincial Custom Furniture Association / Guangdong Wardrobe Industry Association
Article 1To standardize the information disclosure work of this Association, ensure the authenticity, accuracy, completeness, timeliness, and fairness of information disclosure, promote the standardized operation of this Association, and protect the legitimate rights and interests of members, this system is formulated in accordance with relevant laws and regulations.
Article2For the purpose of this system, information disclosure refers to the act of disclosing information that may have a significant impact on this Association but is not yet known to members, within the prescribed time and in the prescribed manner, to members or the public.
Article 3The contents of information disclosure of this Association include periodic reports and ad hoc reports. The annual report is a periodic report, and other reports are ad hoc reports. Information that the social organization registration management authority deems necessary to disclose shall also be disclosed. The contents of ad hoc reports include the following aspects:
(1) Resolutions of the Members' (Representatives') Assembly and the Board of Directors;
(2) Information that may have a significant impact on the development of this Association;
(3) The financial status of this Association;
(4) The usage of materials received from government or social donations and grants by this Association;
(5) The status of this Association accepting commissions, authorizations, or transfers of government functions;
Article 4Information disclosure is a continuous responsibility of this Association. This Association shall faithfully and honestly fulfill its obligations of information disclosure. This Association shall submit and disclose information truthfully, accurately, completely, timely, and openly, ensuring no false, misleading statements or material omissions.The carriers of information disclosure may be internal publications of this Association, websites, media, etc.
Article 5If this Association discovers errors, omissions, or misleading information in disclosed information, it shall promptly issue correction announcements, supplementary announcements, or clarification announcements to correct inaccuracies.
Article 6The Secretariat is authorized by the Council of this Association to organize and coordinate the information disclosure affairs of this Association.
Article 7 The following procedures shall be strictly followed prior to information disclosure:
(1) The head of the department providing the information shall verify the relevant information and materials and confirm by signature;
(2) The Secretary-General shall conduct a normative review and sign;
Article 8For the disclosure of major matters with significant impact on the association or society, approval from the relevant government business guidance department must be obtained. Public disclosure may only be made after full consultation and unified messaging.
Article 9Without a resolution of the Council or authorization from the Chairperson, no council member may disclose information of this Association that has not been publicly disclosed to the public on behalf of this Association or the Council in their personal capacity.
Article 10The Board of Supervisors and individual supervisors shall not disclose information of this Association that has not been publicly disclosed to the media on behalf of this Association at the members' (representatives) assembly. If the Board of Supervisors or a supervisor reports to the members' assembly or government authorities regarding actions of relevant personnel that harm the interests of this Association or are illegal, violate regulations, or breach the Association's Articles of Association, they shall promptly notify the Council and provide relevant materials.
Article 11The annual work report and annual financial report of this Association shall be reviewed by the Council, then published to the members, and submitted to the social团体 registration management authority.
Article 12This Association shall inform members or council members of the time, location, method, and agenda of the members' (representatives) assembly or council meeting prior to its convening.
Article 13This Association shall promptly inform its members of the resolutions of the members' (representatives) assembly and the council through the Association's information disclosure channels,and report them to the registration management authority for recordation.
Article 14This Association shall monitor the information dynamics of its industry at all times and promptly inform its members of information that may have a significant impact on the normal operation of this Association.
Article 15Documents for external information disclosure (including periodic reports and interim reports) shall be filed and kept in dedicated archives. Documents of the Members' (Representatives') Assembly, documents of the Board of Directors, documents of the Board of Supervisors or supervisors, and information disclosure documents shall be classified and stored in dedicated archives.
Article 16Directors, supervisors, and other staff members of this Association who have access to information that should be disclosed due to their work duties shall bear the responsibility and obligation of confidentiality for undisclosed information that may have a significant impact on the Association, and shall not disclose such undisclosed information. Otherwise, they shall bear full responsibility for any adverse consequences arising therefrom.
Article 17If the dereliction of duty by relevant personnel of this Association causes any adverse impact on the Association, disciplinary action shall be taken against them.
Article 18This system shall take effect upon review and approval by the Board of Directors, and shall be interpreted by the Board of Directors.
