Constitution of the Guangdong Custom Home Association
Chapter I General Provisions
Article 1 The name of this Association is the Guangdong Custom Home Association,Guangdong Custom Home Association, abbreviated asGCHA.
Article 2 This Association is a province-wide, industry-wide, non-profit social organization with the status of a social legal person, voluntarily formed by economic organizations and related units engaged in the custom home industry in Guangdong Province.
Article 3 The purpose of this Association is to abide by the constitution, laws, regulations, and national policies, practice core socialist values, observe social ethics, and serve as a bridge and bond between the government and its members; to safeguard the legitimate rights and interests of members and provide them with comprehensive services; to study and explore common issues existing in the industry, and to build a platform for exchange and cooperation between the wardrobe industry and related industries; to establish an industry self-discipline mechanism, promote the healthy and sustainable development of the industry, promote and develop custom homes, making them the first choice for home consumption; to enhance the comprehensive competitiveness of the custom home industry in Guangdong, making Guangdong a nationally and even globally renowned capital of custom homes.
Article 4 The registration and management authority of this Association is the Department of Civil Affairs of Guangdong Province. This Association accepts the supervision, management, and guidance services from the registration and management authority, industry management departments, and other departments within their statutory scope of duties.
Article 5 The area of activities of this Association is Guangdong Province.
Article 6The Association's domicile is in Guangzhou City.
Chapter2 BusinessScope and Activity Principles
Article 7 The business scope of this Association:
(1) To publicize and implement national and provincial laws, regulations, rules, and policies, and guide members to conduct business operations in accordance with the law.
(2) Upon commission or authorization by government departments, to participate in the planning of industrial restructuring and layout, the formulation of policies for the circulation of home furnishing and supporting products and industry standards, to participate in relevant hearings organized by government departments, and to carry out industry surveys, statistics, and appraisal and rating activities.
(3) To submit work opinions and suggestions to relevant government departments based on the opinions and requirements of members and the industry; to organize exchanges and mutual visits between industries or within the industry, share resources, and promote the common progress of enterprises.
(4) To organize the formulation of industry conventions and industry integrity systems, establish industry self-discipline mechanisms, regulate industry business conduct, coordinate industry prices and other disputes, curb unfair competition practices, and maintain a fair competition market order.
(5) To coordinate relations between members, between members and non-members within the industry, between members and other industry operators, consumers, between this industry and other social organizations, and relevant functional departments, and to carry out economic and technical exchanges and cooperation with related domestic and foreign industries.
(6) To organize industry experience exchanges, investment attraction, and product promotion and sales activities, promote typical experiences and modern marketing methods, and help member units expand their markets and product sales channels.
(7) To establish association publications, collect, compile, and analyze the production and operation status and development trends of this industry, introduce new technologies, new products, and new trends from home and abroad, and provide information and consulting services on relevant policies, laws, products, and markets to member units.
(8) To organize various types of training activities and business technical consulting activities to help member units improve their management level and the comprehensive quality of their employees.
(9) To undertake other matters commissioned by government departments, carry out other activities beneficial to the business development of the custom home furnishing industry; promote the establishment of industry standards; enhance industry credibility.
(10) To assist enterprises in applying for provincial and municipal famous trademarks, China Well-known Trademarks, Ten-ring Certification, etc.; to help members expand commercial financing channels with bank credit departments; to conduct business negotiations with external parties in the name of the association.
Article 8The operational principles of this association are:
(1) The governance of a social organization shall comply with relevant national laws and regulations;
(2) This association conducts non-profit activities in accordance with the章程 approved by the registration authority, does not engage in the sale of goods, and uses its funds for the business scope stipulated in this章程, without distribution among members and responsible persons;
(3) This association establishes a mutual oversight mechanism among the decision-making body, executive body, and supervisory body, implementing democratic elections, democratic decision-making, and democratic supervision;
(4) When conducting business activities, this association adheres to the principles of honesty, trustworthiness, fairness, and justice, does not engage in fraud, and does not harm the interests of the state, this association, or its members;
(5) This association follows the principle of scientific organization and does not engage in feudal superstitious propaganda or activities.
Chapter III Members
Article 9This association is composed of institutional members.
Article 10Applicants for membership in this association must meet the following conditions:
(1) Uphold the章程 of this association;
(2) Have the willingness to join this association;
(3) Operate lawfully with no不良 records;
(4) Have a certain influence in this industry and related fields;
(5) Have legally obtained a business license and relevant qualifications.
Article 11 Membership admission procedures:
(1) Submit a membership application as required;
(2) Be discussed and approved by the council;
(3) Pay the annual membership fee according to the standards;
(4) The membership certificate shall be issued by the council or an institution authorized by the council (such as the standing council, secretariat, etc.).
Article 12 Member Rights:
(1) To attend the general assembly of members;
(2) To have the right to elect, to be elected, and to vote in the association;
(3) To have priority in obtaining the services of the association and priority in participating in various activities organized by the association;
(4) To have the right to obtain information and materials provided by the association and to enjoy the services provided by the association;
(5) To have the right to reflect opinions and make requests to the association, and to have the right to criticize and make suggestions regarding the work of the association;
(6) To have the right to inspect the records of the general assembly of members and to have the right to supervise the management of the association;
(7) To have the right to appoint or propose the replacement of member representatives;
(8) To enjoy the right to join voluntarily and to withdraw freely;
(9) Other rights that should be enjoyed.
Article 13 Member Obligations:
(1) To abide by the constitution of the association;
(2) To implement the resolutions of the association;
(3) To safeguard the legitimate rights and interests and reputation of the association;
(4) To participate in and support various activities organized by the association;
(5) To complete the work assigned by the association;
(5) To report situations to the association and provide relevant information and materials;
(6) To pay membership dues as stipulated;
(7) Other obligations that shall be fulfilled.
Article 14 A member who withdraws from the association shall notify the association in writing and return his/her membership card. If a member fails to fulfill his/her obligations or fails to pay membership fees for more than one year, he/she may be deemed to have automatically withdrawn; if a member withdraws from the association, the membership fees already paid shall not be refunded.
Article 15The membership of a member shall terminate under any of the following circumstances:
(1) Applying for withdrawal;
(2) Failing to meet the membership conditions of the association;
(3) Seriously violating the articles of association and relevant regulations of the association, causing significant damage to the reputation and economic interests of the association;
(4) Having its license revoked by the registration administration department;
(5) Being subject to criminal punishment;
Upon termination of membership, the association shall retrieve the member's membership card and promptly update the membership list on the association's website and in its publications.
Article 16If a member seriously violates the provisions of these articles of association, the council (or the standing council) may, by vote, suspend the member's membership or expel the member. After a member withdraws, is suspended, or is expelled, his/her corresponding positions, rights, and obligations in the association shall automatically terminate.
Chapter IV Organizational Structure
Article 17The association shall operate democratically. The establishment of leading bodies and the decision-making on major issues shall be subject to a democratic vote, and decisions shall be made based on the principle of majority rule.
Article 18 The responsible persons of this Association refer to the President (one person), several Vice Presidents, and a Secretary-General.
Article 19 The responsible persons of this Association shall abide by the provisions of laws, regulations, and the articles of association, faithfully perform their duties, safeguard the interests of the Association, and adhere to the following code of conduct:
(1) Exercise rights within the scope of their duties and do not exceed their authority;
(2) Shall not use their positions to seek improper benefits for themselves or others;
(3) Shall not engage in activities that harm the interests of this Association;
(4) Staff members of state organs or retired cadres must obtain approval or file for the record according to the cadre management authority before holding concurrent posts;
Article 20 The highest authority of this Association is the General Assembly. The General Assembly has a term of four years. If it needs to be held earlier or postponed due to special circumstances, it must be voted on and approved by the Council, and then reported to the社团 registration management authority for approval. The postponement shall not exceed one year. The General Assembly shall convene at least once every four years. An interim General Assembly may be convened when the Council deems it necessary or upon the proposal of one-fifth or more of the members.
Article 21 The functions and powers of the General Assembly are:
(1) To decide on the business scope and work functions of this Association within the scope stipulated by laws and regulations;
(2) To elect or remove the President, Vice Presidents, Supervisors, Secretary-General, Council members, etc.;
(3) To review the annual work report of the Council and the annual financial budget and final accounts plan;
(4) To review the Council's proposal for the expulsion of members;
(5) To make resolutions on matters such as the change, dissolution, and liquidation of this Association;
(6) To change or revoke inappropriate decisions of the Council;
(7) To formulate or amend the articles of association and the election methods for organizational bodies;
(8) To decide on matters of termination;
(9) Decide on other major matters.
Article 22A general meeting of members shall be convened only if more than two-thirds of the members are present. Its resolutions shall take effect upon adoption by more than half of the members present. Major matters such as amending the constitution or dissolving the organization shall be adopted by more than two-thirds of the members present at the meeting.
Article 23A member may appoint another member in writing as a proxy to attend the meeting. The proxy shall submit a written power of attorney to the secretariat of the association for record before the general meeting and exercise voting rights within the scope of authorization.
Article 24When convening a general meeting of members, the association shall notify each member of the time, place, and agenda of the meeting at least 30 days in advance.
Article 25The general meeting of members shall elect directors to form a council. The council is the executive body of the association, responsible for leading the daily work of the association and accountable to the general meeting of members. The term of the council is four years. The number of directors shall be one-third of the members, and it shall be an odd number.
Article 26When the term of the council expires, a general meeting of members shall be convened for re-election. If the election cannot be held on time due to special circumstances, it may, with the approval of the council and upon application to the registration authority, and subject to review by the registration authority, be held earlier or postponed. The postponement shall generally not exceed one year. Under special circumstances, an interim general meeting of members may be convened if the council deems it necessary or if more than one-fifth of the members propose it.
Article 27Directors of the association shall meet the following conditions:
(1) Formally registered with the national industry and commerce department;
(2) Have good reputation, credibility, and visibility in the region and industry;
(3) An application for membership may be submitted after six months. The application is voluntary and must be approved by a two-thirds vote of the directors;
(4) Consciously abide by the association's constitution, implement its resolutions, safeguard its legitimate rights and interests, and pay membership dues on time;
(5) Actively participate in the activities organized by the association, proactively report relevant situations to the association, provide relevant information, undertake and complete the tasks assigned by the association;
Article 28The representative of a member unit shall be the principal person in charge of that unit. If the unit adjusts its representative of directors, it shall notify the association in writing and report it to the council or the standing committee for record. If the director is also a standing director, the adjustment shall be made accordingly.
Article 29The functions and powers of the council are:
(1) To convene the general assembly of members;
(2) To formulate the method for selecting member representatives and allocate quotas;
(3) To submit work reports and financial reports to the general assembly of members;
(4) To implement resolutions of the general assembly of members;
(5) To elect and remove executive directors and responsible persons such as the president, vice presidents, and secretary-general;
(6) To decide on the admission or expulsion of members;
(7) To formulate internal management systems, prepare annual financial budgets and final accounts, and lead the work of all bodies of the organization;
(8) To vote on the establishment, change, and dissolution of internal, branch, and representative offices;
(9) To review the work report of the secretary-general and inspect the work of the secretary-general;
(10) To vote on the appointment and dismissal of deputy secretaries-general and principal heads of various offices;
(11) To vote on the appointment and dismissal of staff of various offices;
(12) To change or revoke inappropriate decisions of the standing council;
Article 30The council shall meet twice a year, and may convene at any time under special circumstances. The addition of council members shall be subject to election by the general assembly of members. Under special circumstances, council members may be co-opted, but co-opted members shall be confirmed at the next general assembly of members.
Article 31Council meetings shall be convened and presided over by the president. If the president is unable to attend the meeting for any reason, the meeting shall be presided over by a vice president or the secretary-general authorized by the president. To convene a council meeting, the president or convener shall notify all council members 3 days in advance and inform them of the agenda items. Council members shall attend council meetings in person. If a council member is unable to attend for any reason, they must entrust another council member in writing to attend on their behalf, and the power of attorney shall specify the authorized matters.
Article 32Minutes shall be taken at council meetings. Council members attending the meeting shall verify the minutes of the council meeting and sign them. Council members attending the meeting have the right to request that explanatory notes regarding their speeches be recorded in the minutes.
Article 33A council meeting may be convened only if more than two-thirds of the council members are present; resolutions of the council shall be valid only if adopted by more than two-thirds of the council members present.
Article 34Voting at the general assembly and council meetings of this Association shall be conducted in a democratic manner. The election of council members, executive council members, the supervisor chairperson, supervisors, and responsible persons shall be conducted by secret ballot.
Minutes shall be prepared for the above meetings. Where resolutions are adopted, meeting summaries and resolutions shall be produced. Resolutions of the council shall be reviewed and signed on the spot by the council members, executive council members, and supervisors present at the meeting. Members have the right to inspect the bylaws, rules and regulations, various meeting resolutions, meeting minutes, and financial accounting reports of this Association.
Article 35The President of this Association shall serve as the legal representative. The legal representative of this Association shall not concurrently serve as the legal representative of any other social organization. The legal representative shall be a mainland Chinese resident.
Article 36If a decision that needs to be made by the President, i.e., the legal representative, cannot be made by the legal representative due to special reasons, the council shall make the decision and form a resolution in accordance with the principle of majority rule.
Article 37The responsible persons of this Association shall meet the following conditions:
(1) Adhere to the Party's line, principles, and policies;
(2) Be widely recognized within the industry as possessing rich professional knowledge, good organizational leadership and coordination skills, and a good social credit record;
(3) Have significant influence and high reputation within the business scope of this Association;
(4) The maximum age for holding office generally shall not exceed 70 years old, be in good health, and be able to work normally;
(5) Have not been subjected to criminal punishment for deprivation of political rights;
(6) Have full capacity for civil conduct;
(7) Be able to diligently perform duties and safeguard the legitimate rights and interests of this Association and its members;
(8) No other circumstances that are prohibited by laws, regulations, rules, and policies from holding the position;
Article 38The term of office of the responsible persons of this Association shall be the same as that of the council. The president and legal representative shall generally serve no more than two consecutive terms. If continued service is necessary due to special circumstances, a competitive election shall be adopted, approved by a vote of the member assembly, and filed with the registration authority for approval before taking office.
Article 39The President of this Association shall exercise the following powers:
(1) Convene and preside over council meetings;
(2) Inspect the implementation of resolutions of various meetings;
(3) Lead the work of the council;
(4) Sign important documents on behalf of this Association;
Article 40The Secretary-General shall carry out work under the leadership of the council and exercise the following powers:
(1) Lead the internal organs in carrying out daily work;
(2) Attend council meetings, standing council meetings, and member assemblies as a non-voting participant;
(3) Nominate the Deputy Secretary-General and principal heads of internal organs and substantive bodies, to be decided by the council or standing council;
(4) Propose the appointment and dismissal of full-time staff, to be decided by the council or standing council;
(5) Draft annual work reports and plans, to be reviewed by the council or standing council;
(6) Draft internal management rules and regulations, to be approved by the council or standing council;
(7) Draft annual financial budget and final account reports, to be reviewed by the council or standing council;
(8) Coordinate the work of various branches, representative offices, and substantive bodies;
(9) Handle other daily affairs.
Article 41This Association shall have one Supervisor, elected by the member assembly. The term of office of the Supervisor shall be the same as that of council members. Re-election is permitted upon expiration of the term, but shall not exceed two consecutive terms.
Supervisors are elected from among the members. Persons in charge, directors, executive directors, secretary-general, deputy secretaries-general, and financial personnel of this association shall not concurrently serve as supervisors.
Article 42Supervisors shall exercise the following powers:
(1) Attend meetings of the Board of Directors and the Executive Board of Directors, and raise questions or make suggestions on matters resolved by the Board of Directors and the Executive Board of Directors;
(2) Supervise the performance of duties by directors and executive directors, and propose the removal, in accordance with procedures, of persons in charge, executive directors, and directors who violate laws, regulations, the Articles of Association of this association, or resolutions of the General Assembly of Members;
(3) Examine the financial reports of this association, report on the work of the supervisors to the General Assembly of Members, and make recommendations;
(4) Promptly correct any acts by persons in charge, executive directors, directors, and financial personnel that harm the interests of this association;
(5) Report problems existing in the work of this association to the registration management authority, as well as to relevant tax, accounting, and other competent authorities;
(6) Decide on other matters that should be reviewed by the supervisors.
Article 43This association shall establish the Secretariat as its daily operating body to handle routine affairs. Minutes shall be prepared for all items discussed at secretariat office meetings, and copies shall be sent to the Board of Directors. Subordinate daily operating bodies under the Secretariat must be approved by the Board of Directors.
Article 44The establishment, modification, and termination of branch (representative) bodies of this association shall follow democratic procedures in accordance with the Articles of Association, be submitted to the Board of Directors or the Executive Board of Directors for review and approval to form a resolution, and be announced to all members. The names of each branch (representative) body shall be prefixed with the name of the social organization. Branch bodies may be called chapters, professional committees, working committees, etc. Representative bodies may be called representative offices, liaison offices, etc.
This association shall not establish regional chapters, nor prefix its name with administrative division names, nor bear regional characteristics. Branch (representative) bodies shall not establish subordinate branch bodies or representative bodies. Each branch (representative) body shall be established based on the purpose, tasks, and business scope of this association as stipulated in the Articles of Association, with a clear name, responsible persons, management methods, and organizational structure, and shall be submitted to the Board of Directors for a vote to form a resolution.
Article 45This association shall conclude labor contracts with its full-time staff in accordance with the provisions of the Labor Contract Law. Full-time staff of this association shall participate in relevant job training, familiarize themselves with and understand the laws, regulations, and policies concerning social organizations, and strive to improve their professional competence.
Chapter V Asset Managementand Use
Article 46The funding sources of this Association are:
(1) Membership dues;
(2) Donations;
(3) Government subsidies;
(4) Income from activities or services conducted within the approved business scope;
(5) Interest;
(6) Other lawful income.
This Association shall reasonably set the membership fee standards based on factors such as the business scope stipulated in the章程 (Articles of Association), work costs, and members' affordability, following the principles of reasonable burden and balance of rights and obligations. Membership fees must adopt fixed standards, shall not be variable, and shall be voted on by secret ballot. Within 30 days from the date of adopting the resolution on fee standards, the standards shall be disclosed to all members.
Article 47The membership fee standards of this Association are as follows:
(1) General member units: 3,000 yuan/year;
(2) Council member units: 30,000 yuan/year;
(3) Supervisory member units: 30,000 yuan/year;
(4) Vice president units: 30,000 yuan/year;
(5) President units: 30,000 yuan/year;
The membership fees for the following year shall be paid between October and December of each year.
Article 48The income and its use of this Association shall be regularly reported to the会员大会 (General Assembly of Members) and subject to its supervision and inspection.
If the funding sources include financial allocations or social donations/subsidies, they shall be subject to supervision by financial and auditing authorities, and the relevant information shall be disclosed to the public in an appropriate manner.
Article 49The income obtained by this Association shall be used entirely for the non-profit or public welfare undertakings as registered, approved, and stipulated in these Articles of Association, except for necessary and reasonable expenditures related to the Association, and shall not be distributed among members.
Article 50The property of this Association and its fruits shall not be distributed, excluding reasonable salary and wage expenditures. The salaries, insurance, and welfare benefits of the staff of this Association shall be formulated and implemented by the Council (or the Standing Council) in accordance with the relevant national policies and regulations.
Article 51No unit or individual may appropriate, secretly distribute, or misappropriate the assets of this Association.
Article 52This Association shall implement the "Accounting System for Non-Governmental Non-Profit Organizations", conduct accounting in accordance with the law, establish and improve the internal accounting supervision system, and ensure that accounting records are legal, true, accurate, and complete. This Association shall use the receipts prescribed by the state. This Association shall accept the tax supervision and accounting supervision implemented by the tax and accounting competent authorities in accordance with the law.
Article 53The finance of this Association shall implement unified accounting, and all incurred expenses shall be uniformly registered and accounted in legally established accounting books. No other accounting books shall be kept apart from the statutory accounting books. The assets of this Association shall not be deposited in accounts opened in the name of any individual. The bank account numbers and accounts of this Association shall not be leased, lent, or transferred to other units or individuals for use. Without the approval of the Council, no loans shall be made in the name of this Association, public funds shall not be lent to external units, and no economic guarantees shall be provided to other units or individuals in the name of this Association.
Article 54This Association shall be equipped with accounting personnel with professional qualifications. The accountant shall not concurrently serve as the cashier, and the management of accounts, money, and goods shall be handled by different persons. Accounting personnel must carry out accounting and exercise accounting supervision. When financial personnel are transferred or leave their posts, the handover procedures must be handled in accordance with the relevant provisions of the "Accounting Law".
Article 55The business and fiscal year of this Association shall be from January 1 to December 31 each year. Before March 31 each year, the Council shall review and approve the following matters:
(1) The business report and final accounts of income and expenditure for the previous year;
(2) The business plan and budget for income and expenditure for the current year;
(3) The property inventory.
Article 56This Association shall ensure that accounting records are legal, true, accurate, and complete. Archives shall be established for accounting vouchers, accounting books, financial accounting reports, and other accounting materials, and they shall be properly kept. The registration of accounting vouchers shall be clear and neat, conforming to the requirements of the "Basic Standards for Accounting Work". The attached original vouchers shall have true and accurate content, and the obtained invoices shall be qualified and valid. The right exists to refuse to accept untrue or illegal original vouchers and to report to the President and the legal representative and other relevant responsible persons; original vouchers with inaccurate or incomplete records shall be returned, and corrections or supplements shall be required in accordance with the provisions of the unified national accounting system.
Article 57The Association shall establish a financial revenue and expenditure reporting system, regularly report to the President, Council, Standing Council, Board of Supervisors (Supervisors), and the General Assembly (or Representative Assembly), and simultaneously accept supervision and inspection from the社团 registration management authorities and relevant departments. When the社团 registration management authorities and other departments need to submit reports on related business activities or financial conditions for the purpose of performing their supervision and management duties, the Association shall cooperate.
Article 58When the Association undergoes a change of term or replaces its legal representative, a financial audit shall be conducted, and the audit report shall be submitted to the registration management authority. Before the Association is dissolved and liquidated, a liquidation financial audit shall be conducted.
Sixth2Party Building Work
Article 59In accordance with the Party Constitution and the provisions of the "Opinions of the General Office of the CPC Central Committee on Strengthening Party Building Work in Social Organizations (Trial)", social organizations with three or more full Party members shall, in accordance with the Party Constitution and with the approval of the higher-level Party organization, establish Party committees, general Party branches, or Party branches respectively, and hold elections for changes of term on schedule. For those with a larger scale, many member units, but an insufficient number of Party members, a Party committee may be established with the approval of the Party committee at or above the county level.
Article 60When a social organization undergoes changes, mergers, or cancellations, the Party organization shall promptly report to the higher-level Party organization and handle the transfer of Party members' organizational relations and other related work; the higher-level Party organization shall promptly make a decision on the change or revocation of the social organization's Party organization, supervise and guide the subordinate social organization's Party organization to hold elections on schedule, approve the elected secretary and deputy secretary, review the candidates for the social organization's leaders, and guide other work of Party building.
Article 61The Party organization of the Association is the fighting fortress of the Party in the social organization, playing the role of a political core. Its basic responsibilities are to ensure the correct political direction, unite and rally the masses, promote the development of the cause, build advanced culture, serve the growth of talent, and strengthen its own construction.
Chapter VII Termination and Disposal of Residual Property
Article 62If any of the following circumstances occur in the Association, the Association shall terminate and the Council shall propose a motion for deregistration:
(1) The purpose stipulated in the Articles of Association has been fulfilled;
(2) The General Assembly resolves to dissolve;
(3) The Association undergoes a division or merger;
(4) Unable to continue operations in accordance with the purposes stipulated in the articles of association.
Article 63 Termination of the association shall be proposed by the council, voted upon and approved by the general meeting of members, and submitted to the registration management authority for review and approval.
Article 64Before the termination of the association, a liquidation team composed of personnel designated by the council shall be formed to handle the liquidation of claims and debts and manage post-termination affairs. During the liquidation period, no activities other than liquidation shall be carried out.
Article 65Upon completion of liquidation, the association shall apply to the registration management authority for the cancellation of registration. The association shall be deemed terminated upon the completion of the cancellation registration.
Article 66In accordance with the registration verification or the provisions of the articles of association, any remaining property after the dissolution of the association shall be used for public welfare or non-profit purposes, or be disposed of by the registration management authority through transfer to an organization with a similar nature and purpose, and the matter shall be publicly announced.
Article82 Supplementary Provisions
Article 67These articles of association were voted upon and approved by the first general meeting of members on August 11, 2018.
Article 68If any provision of these articles of association conflicts with national laws, regulations, or policies, the national laws, regulations, and policies shall prevail.
Article 69The right to interpret these Articles of Association belongs to the Council of this Association.
Article 70These Articles of Association shall take effect from the date of approval by the registration authority..
Articles of Association of Guangdong Wardrobe Industry Association
Chapter 1 General Provisions
Article 1The name of this association is Guangdong Wardrobe Industry Association, and its English translation isGuangdong Wardrobe Industry Association, abbreviated asGWIA.
Article 2This association is a provincial, industry-wide, non-profit social organization with legal personality, voluntarily formed by economic organizations and related units engaged in the custom wardrobe industry in Guangdong Province.
Article 3Purpose of this association: To abide by the Constitution, laws, regulations and policies of the People's Republic of China, promote socialist moral practices, serve as a bridge and bond between the government and members; protect the industry's interests and members' rights in accordance with the law, and provide comprehensive services to members; research and discuss common issues in the industry, build a platform for exchange and cooperation between the wardrobe industry and related industries; establish a self-regulatory mechanism for the industry, promote the healthy and sustainable development of the industry, promote and develop custom wardrobes, making them the first choice for home furnishing consumption; enhance the comprehensive competitiveness of the Guangdong wardrobe industry, making Guangdong a nationally and even globally renowned home customization hub.
Article 4 The registration and management authority of this association is the Department of Civil Affairs of Guangdong Province. This association accepts the supervision and management of the Department of Civil Affairs of Guangdong Province and the professional guidance of relevant functional departments of the People's Government of Guangdong Province.
Article 5 The area of activities of this Association is Guangdong Province.
Article 6The Association's domicile is in Guangzhou City.
ChapterChapter BusinessFunctionsScope
Article 7The functions and main business scope of this association:
(1) To publicize and implement national and provincial laws, regulations, rules, and policies, and guide members to conduct business operations in accordance with the law.
(2) Upon commission or authorization by government departments, to participate in the planning of industrial restructuring and layout, the formulation of policies for the circulation of home furnishing and supporting products and industry standards, to participate in relevant hearings organized by government departments, and to carry out industry surveys, statistics, and appraisal and rating activities.
(3) To submit work opinions and suggestions to relevant government departments based on the opinions and requirements of members and the industry; to organize exchanges and mutual visits between industries or within the industry, share resources, and promote the common progress of enterprises.
(4) To organize the formulation of industry conventions and industry integrity systems, establish industry self-discipline mechanisms, regulate industry business conduct, coordinate industry prices and other disputes, curb unfair competition practices, and maintain a fair competition market order.
(5) To coordinate relations between members, between members and non-members within the industry, between members and other industry operators, consumers, between this industry and other social organizations, and relevant functional departments, and to carry out economic and technical exchanges and cooperation with related domestic and foreign industries.
(6) To organize industry experience exchanges, investment attraction, and product promotion and sales activities, promote typical experiences and modern marketing methods, and help member units expand their markets and product sales channels.
(7) To establish association publications, collect, compile, and analyze the production and operation status and development trends of this industry, introduce new technologies, new products, and new trends from home and abroad, and provide information and consulting services on relevant policies, laws, products, and markets to member units.
(8) To organize various types of training activities and business technical consulting activities to help member units improve their management level and the comprehensive quality of their employees.
(IX) Undertake other matters entrusted by government departments, carry out other activities beneficial to the development and operation of the wardrobe industry; promote the establishment of industry standards; enhance industry credibility.
(10) To assist enterprises in applying for provincial and municipal famous trademarks, China Well-known Trademarks, Ten-ring Certification, etc.; to help members expand commercial financing channels with bank credit departments; to conduct business negotiations with external parties in the name of the association.
Chapter III MembersManagement
Article 8The members of this association are divided into industry members and affiliated members.
(I) Entities specializing in or primarily engaged in the production, sales, service, and R&D of custom wardrobe products may apply to join this association as industry members.
(II) Other entities related to the wardrobe industry, such as material suppliers and equipment manufacturers, may apply to join this association as affiliated members.
Article 9Applicants for membership in this association must meet the following conditions:
(1) Uphold the章程 of this association;
(2) Have the willingness to join this association;
(3) Operate lawfully with no不良 records;
(4) Have a certain influence in this industry and related fields;
(5) Have legally obtained a business license and relevant qualifications.
Article 10Membership admission procedures:
(1) Submit a membership application as required;
(2) Be discussed and approved by the council;
(3) Pay the annual membership fee according to the standards;
(4) The member certificate shall be issued by the council or an institution authorized by the council.
Article 11 Member rights:
(1) To attend the general assembly of members;
(2) To have the right to elect, to be elected, and to vote in the association;
(3) To have priority in obtaining the services of the association and priority in participating in various activities organized by the association;
(4) To have the right to obtain information and materials provided by the association and to enjoy the services provided by the association;
(5) To have the right to reflect opinions and make requests to the association, and to have the right to criticize and make suggestions regarding the work of the association;
(6) To have the right to inspect the records of the general assembly of members and to have the right to supervise the management of the association;
(7) To have the right to appoint or propose the replacement of member representatives;
(8) To enjoy the right to join voluntarily and to withdraw freely;
(9) Other rights that should be enjoyed.
Article 12 Member obligations:
(1) To abide by the constitution of the association;
(2) To implement the resolutions of the association;
(3) To safeguard the legitimate rights and interests and reputation of the association;
(4) To participate in and support various activities organized by the association;
(5) To complete the work assigned by the association;
(5) To report situations to the association and provide relevant information and materials;
(6) To pay membership dues as stipulated;
(7) Other obligations that shall be fulfilled.
Article 13 Membership Fee Standards:
(1) General member units: 3,000 yuan/year;
(2) Council member units: 30,000 yuan/year;
(3) Supervisory member units: 30,000 yuan/year;
(4) Vice president units: 30,000 yuan/year;
(5) President units: 30,000 yuan/year;
The membership fees for the following year shall be paid between October and December of each year.
Article 14Members who wish to resign from the association shall notify the association in writing, and after approval, return their membership card to the association; if a member fails to pay membership fees for one year or does not participate in the association's activities, they will be deemed to have automatically resigned; if a member withdraws from the association, the membership fees already paid will not be refunded.
Article 15If a member violates the association's charter, depending on the severity of the circumstances, the association will give them a warning, order rectification within a specified period, or advise them to withdraw from the association; if a member seriously violates this charter, they will be expelled after a vote by the general membership meeting.
Chapter 4 Organizational Structure andTerms of OfficeExemptionProcedures
Article 16 General Assembly of Members
The General Assembly of Members is the highest authority of this association and exercises its powers in accordance with national laws, regulations, and the articles of association of this association.
Article 17 Powers of the General Assembly of Members:
(1) To decide on the business scope and work functions of this Association within the scope stipulated by laws and regulations;
(2) To elect or remove the President, Vice Presidents, Supervisors, Secretary-General, Council members, etc.;
(3) To review the annual work report of the Council and the annual financial budget and final accounts plan;
(4) To review the Council's proposal for the expulsion of members;
(5) To make resolutions on matters such as the change, dissolution, and liquidation of this Association;
(6) To change or revoke inappropriate decisions of the Council;
(7) To formulate or amend the articles of association and the election methods for organizational bodies;
(8) To decide on matters of termination;
(9) Decide on other major matters.
Article 18 The general membership meeting is held once every two years. If a special situation requires an earlier or later换届, it must be approved by a vote of the board of directors and reported to the social organization registration management authority for approval. The postponement of the换届 shall not exceed one year at most. The general membership meeting shall be convened at least once every two years. If the board of directors deems it necessary or if one-fifth or more of the members propose, an interim general membership meeting may be convened.
Article 19A general membership meeting shall be convened only when two-thirds or more of all members are present; its resolutions shall be passed by a majority vote of the attending members. The general membership meeting shall prepare meeting minutes on the decisions of the matters discussed and shall announce them to the members.
Article 20 Board of Directors:
This association has a board of directors, which is the standing body of the general membership meeting. When the general membership meeting is not in session, the board of directors performs its duties in accordance with the resolutions of the general membership meeting and the provisions of this association's charter.
Article 21Powers of the Board of Directors:
(1) To prepare and convene the general membership meeting;
(2) To execute the resolutions of the general membership meeting and report on its work to the general membership meeting;
(3) To decide on the specific work and business of this association, and to coordinate, manage, and control related matters of this association.
(4) To formulate the annual financial budget plan of this association, and to review and approve plans concerning final accounts, changes, dissolution, and liquidation;
(5) To formulate plans for increasing or decreasing the registered capital of this association;
(6) To decide on the establishment of various internal bodies of this association and to lead the work of these internal bodies;
(7) To decide on the admission of new applicants and on sanctions against members, and to propose the expulsion of members;
(8) To decide on the principal responsible persons of this association's branch offices. Based on the nomination of the Secretary-General, to appoint or dismiss the Deputy Secretary-General and the principal responsible persons of this association's offices and representative offices, and to decide on their remuneration, etc.;
(9) To formulate this association's internal management system;
(10) Other matters stipulated by the constitution of this association.
Article 22The council shall hold at least two meetings each year. A council meeting may be convened only if more than half of the council members are present, and resolutions shall become effective only after being approved by more than half of all council members. Meeting minutes shall be prepared for resolutions and announced to all council members.
Council meetings shall be convened and presided over by the president; if the president is unable to perform duties due to special reasons, the president shall delegate the vice president to convene and preside over the meeting. If one-third or more of the council members propose, a council meeting may be convened.
Article 23Presidents' Meeting:
Except for matters that need to be decided by the council and the general assembly of members as stipulated by this constitution, other matters of this association shall be decided by the presidents' meeting attended by the president and vice presidents.
Article 24The presidents' meeting shall be valid only if attended by two-thirds or more of the (vice) presidents. When a vice president is unable to attend the meeting due to special circumstances, they may appoint in writing a senior executive (at or above director level, who must have registered with the secretariat in advance) from their organization to exercise powers on their behalf.
Article 25If a person at or above the vice president level is absent (including personal absence without sending a senior executive, with two late arrivals or early departures counted as one absence) from three or more presidents' meetings cumulatively within a year, or three times in total, the secretary-general may propose a dismissal recommendation to the presidents' meeting. The vice president shall be dismissed if two-thirds or more of the votes are in favor.
Article 26 Supervisory Board (or Supervisor):
This association shall establish a supervisory board (or supervisor), elected by the general assembly of members. The term of office of the supervisory board (or supervisor) shall be the same as that of the council, and re-election is permitted upon expiration.
The president, vice presidents, and secretary-general shall not concurrently serve as supervisors.
Article 27The supervisory board (or supervisor) shall exercise the following powers:
(1) Report annual work to the general assembly of members;
(2) Supervise the qualification confirmation, procedures, elections, and removals of participants in the general assembly of members and the council; supervise the council's implementation of the resolutions of the general assembly of members.
(3) Supervisors attend board of directors meetings and chairperson meetings, confirming the legality and validity of resolutions made by the board and the chairperson. They have the right to raise inquiries and suggestions to the board and the chairperson.
(4) Inspect the association's financial and accounting records, and report situations to the registration authority as well as the higher-level tax and accounting supervisory departments.
(5) Monitor the board's compliance with laws and the charter. When actions of the chairperson, vice chairperson, secretary-general, or other management personnel harm the association's interests, they have the right to demand corrections and, if necessary, report to the general membership meeting or relevant government authorities.
(6) Mediate and handle internal conflicts lawfully, fairly, and impartially according to the charter. They have the right to propose convening board or chairperson meetings to coordinate related matters and to table resolutions, while safeguarding the parties' right to defense.
Supervisors shall comply with relevant laws and regulations as well as this association's charter, accept the leadership of the general membership meeting, and earnestly fulfill their duties.
Article 28The association shall have one chairperson, several vice chairpersons, and one secretary-general. The chairperson serves as the legal representative of the association and shall not concurrently serve as the legal representative of any other organization.
Article 29All members of the board of directors and the board of supervisors (including for reelections and mid-term adjustments) shall be nominated as candidates by the board of directors (initially by the preparatory committee) and then elected by the general membership meeting.
Article 30The secretary-general of the association shall be appointed through an election system. The secretary-general and the chairperson shall not come from the same enterprise. The chairperson shall not concurrently hold the position of secretary-general.
Article 31 The chairperson, vice chairpersons, supervisor(s) (or head supervisor), and secretary-general of the association must meet the following conditions:
(1) Uphold the Party's line, principles, and policies, and abide by national laws and regulations.
(2) Have significant influence within the industry or field.
(3) The maximum age for holding office shall not exceed 70 years old. The secretary-general shall serve full-time.
(4) Be in good health and able to perform normal duties.
(5) Have not received any criminal penalties.
(6) Have full capacity for civil conduct.
Article 32The President and Vice Presidents of this Association shall serve a term of two years, and no person may serve more than two consecutive terms.
Article 33The President of this Association shall exercise the following powers:
(1) Convene and preside over meetings of the Council (or the President);
(2) Inspect the implementation of resolutions adopted by the General Assembly and the Council (or the President's Meeting);
(3) Sign important documents on behalf of this Association.
Article 34The Secretary-General holds a full-time position and exercises the following powers:
(1) Lead the administrative offices in daily work and organize the implementation of the annual work plan;
(2) Organize the formulation and implementation of the annual work plan and budget, as well as decisions made by the President's Meeting;
(3) Coordinate the work of all branches, representative offices, and entities;
(4) Propose candidates for Deputy Secretary-General and the principal heads of each administrative office, branch, representative office, and entity;
(5) Propose the appointment of full-time staff for administrative offices, representative offices, and entities, and report to the President's Meeting for approval;
(6) Handle other routine matters.
The Secretary-General shall attend Council meetings and President's Meetings.
Article 35This Association may establish branches through the following specific procedures:
(1) The Secretariat of this Association shall propose a specific plan for establishing a branch;
(2) Submit the specific plan to the council for discussion and approval;
(3) Report to the social organization registration management authority for examination and approval.
Chapter V: Asset Management
Article 36The funding sources of this Association are:
(1) Membership dues;
(2) Donations;
(3) Government subsidies;
(4) Income from activities or services conducted within the approved business scope;
(5) Interest;
(6) Other lawful income.
Article 37When accepting donations, this association must abide by laws and regulations and must not engage in any form of apportionment or disguised apportionment.
Donors, sponsors or entities, members, and supervisors have the right to inquire about the use and management of donated property and to provide opinions and suggestions. The association shall promptly and truthfully respond to inquiries from donors, sponsors or entities, members, and supervisors.
Article 38The funds of this association must be used for the business scope and development stipulated in these bylaws.
Article 39The property and other income of this association are protected by law. No unit or individual may embezzle, privately divide, or misappropriate them; violators must promptly return the property and make a self-criticism at the members' meeting. If a crime is constituted, criminal liability shall be pursued according to law.
Article 40This association establishes a strict financial management system to ensure that accounting records are legal, truthful, accurate, and complete.
Article 41 The Association is staffed with professionally qualified accounting personnel (the accountant shall not concurrently serve as the cashier) responsible for accounting and accounting supervision. When accounting personnel are transferred or resign, they must complete the handover procedures with the successor.
Article 42The asset management of the Association shall implement the financial management system prescribed by the state and accept the supervision of the member assembly and the financial department. If the source of assets is state appropriations or social donations or grants, it must accept the supervision of audit authorities and disclose the relevant information to the public in an appropriate manner.
Article 43During the change of term, replacement of the legal representative, and liquidation of the Association, it must undergo a financial audit conducted by an auditing unit recognized by the social organization registration management authority.
Article 44In accordance with the Regulations on Industry Associations of Guangdong Province, the Association shall submit to the registration management authority before the end of March each year the activity report of the previous year, the financial report, and the activity plan for the current year.
Article 45The salaries, insurance, and welfare benefits of the full-time staff of the Association shall be implemented with reference to the relevant state regulations on public institutions.
Article 46The financial income and expenditure of the Association shall be disclosed at the annual member assembly.
Chapter VIProhibited Matters
Article 47All members of the Council and the Board of Supervisors shall not use their positions in the Association for commercial publicity. All members of the Association may uniformly use the title 'Member Unit of Guangdong Wardrobe Industry Association' for publicity and promotion.
ArticleSevenChapter Amendment
Article 48Amendments to the Articles of Association of this Association must be adopted by the Council and then submitted to the General Assembly for deliberation.
Article 49Amendments to the Articles of Association of this Association shall become effective upon approval by the social group registration management authority within 30 days after adoption by the General Assembly.
Article8Chapter Termination Procedures
Article 50If any of the following circumstances occur in the Association, the Association shall terminate and the Council shall propose a motion for deregistration:
(1) The purpose stipulated in the Articles of Association has been fulfilled;
(2) The General Assembly resolves to dissolve;
(3) The Association undergoes a division or merger;
(4) Unable to continue operations in accordance with the purposes stipulated in the articles of association.
Article 51A motion to terminate this Association must be adopted by the General Assembly and submitted to the social group registration management authority for review and approval.
Article 52Prior to termination, this Association shall establish a liquidation team under the guidance of the social group registration management authority and relevant authorities, responsible for settling debts and claims and handling post-termination affairs. During liquidation, no activities other than liquidation shall be conducted. This Association shall go through the cancellation of registration procedures with the social group registration management authority within fifteen days after the conclusion of liquidation.
Article 53This Association shall be deemed terminated upon completion of the cancellation of registration procedures with the social group registration management authority.
Article 54After the termination of this Association, the remaining property shall be used for the development of undertakings related to the purposes of this Association under the supervision of the registration management authority of social organizations, in accordance with relevant national regulations.
ArticleChapter IXSupplemental Provisions
Article 55Chinese shall be the official language of this Association. All meetings, communications, documents, and meeting minutes shall be conducted in Chinese.
Article 56All amounts mentioned in this Constitution refer to Renminbi; the terms 'above' and 'below' do not include the number itself; the term 'day' refers to a working day, and the term 'calendar day' refers to a natural day.
Article 57This Constitution was adopted by vote at the first general meeting of members on August 16, 2013.
Article 58The right to interpret this Constitution belongs to the Council of this Association.
Article 59This Constitution shall take effect from the date of approval by the registration management authority of social organizations.
